Michael Brauser has served as a member of our board of directors since the Merger. Mr. Brauser has served as a director of the company since its inception in June 2007. Mr. Brauser served as Chairman of the Board of Directors of SendTec, Inc. from October 2005 through November 2006. Prior to that, Mr. Brauser was the founder, President and CEO of Marlin Capital Partners, a private investment company since 2003. From 1999 through 2002, he served as President and Chief Executive Officer of Naviant, Inc. (eDirect, Inc.), an internet marketing company. He also was the founder of Seisant Inc. (eData.com, Inc.) and served as a member of its Board of Directors from 1999 through 2003.

Frank Cotroneo has more than 28 years of business and senior management experience. Mr. Cotroneo most recently served as Chief Operating Officer and Chief Financial Officer of NetSpend Corporation, a provider of prepaid debit card services. He is the former Chief Financial Officer of Axciom Corporation, former CFO of H&R Block, and former CFO of MasterCard International.

Brett Cravatt is currently the CEO of WebYES! Prior, Cravatt served as the Chief Operating Officer of Connexus' ad network Traffic Marketplace. At TMP, he was responsible for overseeing the P&L and was the primary product architect. He directly influenced and guided the development of Traffic Marketplace's business, and grew the company's online marketing revenues from $6 million a year to $125 million a year. Before Traffic Marketplace, Cravatt was a corporate securities attorney for Loeb & Loeb, LLP, where he handled a wide range of corporate and legal activities for both start-up and Fortune 1000 clients.

Mr. Cravatt holds a Bachelor's degree in Political Science from U. C. Berkeley and a J. D. from Stanford Law School.

Dave Hills is General Partner at KPG Ventures, a venture capital and private equity firm. Barry Honig has served as a member of our board of directors since the Merger. Mr. Honig has served as a director of the company since its inception in June 2007. Barry, is currently the President and founder of GRQ Consultants Inc, an investor and consultant to early stage companies. Since 2003, Mr. Honig has advised and consulted in diverse areas including capital structure, debt financing, merger and acquisition, capital introductions all the way through IPO/reverse merger is completed. Prior to GRQ, Mr. Honig was a co-founder of Marlin Capital LLC, a registered broker- dealer and market maker in over 500 Nasdaq securities. From 1998-2001, he worked at Ramius Capital trading in distressed equities, arbitrage, long/short and other specialized trading strategies.

Michael Katz, President, founded interCLICK in 2004 when he recognized the need for a transparent ad network in a marketplace dominated by blind networks. Since interCLICK's inception, Michael has been responsible for the overall strategic vision of the company. Prior to founding interCLICK, Mr. Katz was a financial analyst for Accenture from 2001 to 2003 and an associate for ZEFER, an Internet consulting firm.

Michael Mathews has served as Chief Executive Officer of interCLICK since September 2007. From 2004-2007, Mr. Mathews served as the Senior VP of the online lead generation firm, TheUseful. Mr. Mathews previously served as President of Agency.com and Vice President of CKS Group, both leading Internet Services firms.

Michael holds an MBA from Golden Gate University and a BS in Marketing from San Francisco State University.
